Job Description

Our client firm is a premier global law firm known for its exceptional corporate practice, specializing in high-stakes M&A, cross-border transactions, and strategic advisory for top-tier clients. They are seeking a dynamic and talented Corporate M&A Associate with Mandarin language fluency to join their busy cross-border M&A practice in New York. This is an excellent opportunity to work on complex, high-profile transactions involving China-based businesses and SOEs operating in the U.S.

The ideal candidate will have a minimum of three years of experience in corporate M&A, including significant exposure to cross-border transactions. The role requires a strong understanding of the dynamics of working with State-Owned Enterprises (SOEs) and China-based businesses, along with a deep understanding of U.S. corporate law and regulatory matters. Fluency in Mandarin is essential for dealing with Chinese-speaking clients and counterparts, as well as navigating international legal frameworks.

Responsibilities:

  • Represent clients in complex M&A transactions, including mergers, acquisitions, joint ventures, and strategic investments, with a focus on cross-border deals involving Chinese companies and SOEs.
  • Draft, review, and negotiate transaction documents, including term sheets, purchase agreements, and ancillary documents.
  • Advise clients on regulatory compliance, including issues related to U.S. antitrust, CFIUS, and other cross-border regulatory matters.
  • Conduct legal due diligence and advise clients on structuring transactions to meet business objectives.
  • Provide practical and strategic advice on legal, financial, and business issues arising in cross-border transactions.
  • Collaborate with international teams across the firm's global offices to provide seamless service to clients.
  • Manage relationships with clients and provide outstanding client service.
  • Supervise junior associates and provide mentoring and guidance.

Qualifications:

  • A minimum of 3 years of experience practicing corporate M&A law, preferably with exposure to cross-border transactions.
  • Fluency in Mandarin (written and oral) is required.
  • Strong academic credentials and law degree from an accredited law school.
  • Excellent writing, oral communication, and negotiation skills.
  • Experience working with Chinese State-Owned Enterprises (SOEs) and China-based businesses, including familiarity with Chinese business and regulatory practices.
  • Proven ability to work effectively in a fast-paced, high-pressure environment.
  • Exceptional interpersonal skills and ability to build strong relationships with clients and colleagues.

Strong academic credentials required. New York (or equivalent US jurisdiction) bar admission required. Compensation includes salary ($240K-$275K) plus Big Law competitive bonus and robust benefits package. U.S. law degree (J.D. or LL.M.) and PRC law degree or experience working with PRC companies, also required.
